Terms of Service

This document forms the Terms of Service (the "Terms") that govern your use of the Remoji Discord Application (the "Bot"). Your use of the Bot is strictly subject to these Terms. By using the Bot, you expressly agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not use the Bot.

Please read this document carefully and ensure you fully understand it.

After reading this document, please review the Privacy Policy, as that document also governs your use of the Bot.

Definitions

In these Terms:

• "Remoji" means the Bot and related services, as previously defined, collectively representing the Bot brand and the operator of the Bot.

• "Discord" means Discord, Inc., a California corporation, and its affiliates.

• "Discord API" means the Discord Application Programming Interface (API), a service provided by Discord that allows developers to interact with Discord and services on the Discord platform.

• "Discord App" means the multimedia chat service provided by Discord.

• "User Content" means any content that a User uploads or otherwise submits or makes available to the Bot, including without limitation content submitted in the form of a hyperlink to another website or service.

Grant of License

Remoji grants you a limited, non-exclusive, non-transferable, revocable license to use the Bot. You may not use the Bot for any purpose that is unlawful or prohibited by these Terms.

User Content

You may not use the Bot to post, upload, store, host, transmit, send, display, perform, reproduce, publish, distribute, or otherwise make available any User Content that:

• is unlawful or violates any law;

• is obscene, defamatory, libelous, threatening, invasive of privacy, or otherwise objectionable;

• is a trade mark, logo, or other proprietary information of any third party;

• violates these Terms or any other agreements between you and Remoji or you and Discord; or

• is in violation of any intellectual property rights

By submitting User Content to the Bot, you grant Remoji a worldwide, non-exclusive, royalty-free, irrevocable, sublicensable, and fully paid license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any and all media. You certify that you own or control all rights in the User Content and that you have the right to grant the license set forth in this section. You further certify that you have the right to grant the license set forth in this section to Remoji and to Discord, as applicable.

Term and Termination

These Terms shall remain in full force and effect while you use the Bot. You may terminate your license to use the Bot at any time, for any reason, by deleting your account and all related information, files, and content from the Bot. Remoji may also, in its sole discretion, at any time and for any reason, immediately terminate your license to use the Bot (or any portion thereof) without prior notice.

Remoji my alter these Terms from time to time. Please check this page often for the latest updates. If there is a significant change to the Terms, then we will make a good-faith attempt notify users of the update via the Bot.

Indemnification & Disclaimers of Warranties and Liability

The Bot is provided to you "AS IS" and "AS AVAILABLE" and without any warranty of any kind, express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Remoji makes no warranty that the Bot will be uninterrupted, timely, secure, or error-free. Remoji makes no warranty that the Bot will meet your requirements, or that the Bot will be compatible with any other software, hardware, or service. Remoji does not warrant that the Bot will be available at any specific times or locations, or that any defects will be corrected. Remoji makes no warranty that the results that may be obtained from the use of the Bot will be accurate, reliable, current, or error-free.

TO THE EXTENT PERMITTED BY LAW, REMOJI DISCLAIMS ALL LIABILITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE BOT, (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE BOT, (III) ANY CONTENT OBTAINED FROM THE BOT, AND (IV) ANY ERRORS OR OMISSIONS IN THE BOT.

BY USING THE BOT, YOU AGREE THAT YOU WILL NOT HOLD REMOJI, ITS EMPLOYEES, AGENTS, OR AFFILIATES LIABLE FOR ANY LOSSES OR DAMAGES, INCLUDING WITHOUT LIMITATION, LOST PROFITS, LOST SAVINGS, OR ANY OTHER INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. YOU AGREE THAT REMOJI WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE OF ANY KIND, HOWEVER CAUSED, RESULTING FROM ANY ERRORS OR OMISSIONS IN THE BOT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF ANY ACTIONS TAKEN IN RELIANCE ON THE BOT.

Additional Indemnification

You agree to indemnify, defend, and hold harmless Remoji and its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising out of or related to your use of the Bot, your violation of these Terms, or your violation of any rights of a third party, including but not limited to intellectual property rights.

In some jurisdictions, not all of these Terms may be enforceable; in this case, the other terms will remain in effect as fully as possible under the law. If any part of these Terms is found to be unenforcable, then the rest of the Terms shall remain enforceable.
